Terms of Service

The agreement between your clinic and Sirendesk Technologies when you use SoapNote software and services.

Plain-language summary: You get the clinic software free. You pay only for optional cloud services (AI notes, WhatsApp, backup) as you use them. Your patient data is yours — on your machine. We are not responsible for clinical decisions made using this software.

1. Acceptance of terms

By installing the SoapNote application, creating an account, or using any part of the service, you agree to these Terms of Service ("Terms") on behalf of yourself and the clinic you operate ("you" or "Clinic"). If you do not agree, do not install or use the software.

These Terms form a binding agreement between you and Sirendesk Technologies ("we," "us," or "SoapNote"). We may update these Terms; material changes will be communicated with at least 14 days' notice.

2. What SoapNote is (and is not)

SoapNote is a clinic management and productivity tool. It is designed to help medical practitioners manage records, appointments, billing, and clinical notes more efficiently.

Important: SoapNote is not a medical device, clinical decision support system, or diagnostic tool. Nothing produced by the software — including AI-generated clinical notes — constitutes medical advice or a substitute for your professional clinical judgement. You are solely responsible for all clinical decisions made using or based on this software.

AI-generated SOAP notes are transcriptions and summaries of what was said during a consultation. They must be reviewed and verified by the treating practitioner before being treated as part of a patient's medical record.

3. Licence and permitted use

Subject to these Terms, we grant you a non-exclusive, non-transferable licence to install and use the SoapNote desktop application for your clinic's internal operations.

You may not:

  • Resell, sublicense, or redistribute the software
  • Reverse-engineer or decompile the application
  • Use the software to operate more clinics than your subscription permits
  • Attempt to access the accounts or data of other clinics
  • Use automated tools to submit bulk requests to our cloud APIs beyond normal use

4. Free tier and paid services

The core SoapNote clinic management application (patient records, billing, appointments, prescriptions, offline use) is provided free of charge indefinitely. This free tier carries no time limit and no hidden obligations.

Optional cloud-powered services are paid on a pay-per-use or subscription basis:

  • AI Voice Notes: ₹12 per note, or ₹1,000 for 100 prepaid notes
  • Tele-consultation: ₹2 per minute, or ₹500 for 300 prepaid minutes
  • WhatsApp Follow-ups: ₹1.50 per message (or bundle pricing)
  • Backup & Safety Plan: ₹4,999/year
  • Online Presence add-on: ₹2,000/year
  • Additional doctor seats: ₹4,999/year per doctor beyond the plan limit
  • Additional staff seats: ₹600/year per staff seat beyond the plan limit

Prices are in Indian Rupees and exclusive of GST unless stated otherwise. We reserve the right to change pricing with 30 days' written notice to your registered email.

5. Payment and billing

Paid services are billed in advance (subscriptions) or at the end of the billing period (usage-based). All payments are final and non-refundable except where required by law or where we have failed to deliver the service.

If a subscription payment fails, we will notify you and provide a 7-day grace period before suspending cloud services. Your local software and data are never affected by a billing issue — the free core always remains accessible.

You are responsible for all charges incurred under your account, including any AI note or WhatsApp usage by your staff.

6. Your data and ownership

You own all patient data, clinical records, and content you create using SoapNote. We claim no intellectual property rights over your data.

Patient data stored locally on your clinic's computer is under your sole control. We cannot access it unless you enable the Backup service (which transmits an encrypted copy to our servers).

On cancellation or termination, your local data remains on your device. Encrypted backup copies are deleted from our servers within 30 days of subscription end. We will provide an export of your account data on request.

You are responsible for ensuring that your use of SoapNote — including storing and processing patient data — complies with applicable Indian laws, including the Digital Personal Data Protection Act, 2023, and any regulations applicable to medical records in your state or practice.

7. Acceptable use

You agree to use SoapNote only for lawful purposes and in a manner consistent with these Terms. You must not:

  • Use the service to store or process data in violation of patient privacy laws
  • Use AI Voice Notes without obtaining appropriate patient consent for recording
  • Send WhatsApp messages to patients without their prior consent or in violation of TRAI guidelines
  • Use the service to harass, deceive, or harm any person
  • Attempt to probe, scan, or test the vulnerability of our systems

We reserve the right to suspend or terminate accounts that violate this section, with or without prior notice depending on severity.

8. Availability and support

The core local application works entirely offline — its availability is not dependent on our servers. Cloud services (AI notes, WhatsApp, backup) are dependent on internet connectivity and external infrastructure.

We target 99% uptime for cloud services but do not guarantee it. Scheduled maintenance will be communicated in advance where possible.

Support is provided via WhatsApp and email for Backup Plan and Clinic/Clinic+ subscribers. Free-tier users receive community documentation and email support on a best-effort basis.

9. Disclaimer of warranties

SoapNote is provided "as is" and "as available." To the maximum extent permitted by Indian law, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement.

We do not warrant that the software will be error-free, that AI-generated notes will be accurate or complete, or that cloud services will be uninterrupted.

10. Limitation of liability

To the maximum extent permitted by applicable law, Sirendesk Technologies shall not be liable for:

  • Any clinical or medical outcome, regardless of whether the software was involved in the decision
  • Loss of patient data due to hardware failure on your premises (this is what the Backup Plan mitigates)
  • Indirect, incidental, or consequential damages arising from use of the service
  • Any service failure in WhatsApp, speech-to-text, or payment processing

Our total aggregate liability to you for any claim arising under these Terms shall not exceed the total fees paid by you to us in the 12 months preceding the event giving rise to the claim, or ₹5,000 — whichever is greater.

11. Termination

You may stop using SoapNote at any time. Cancelling a paid subscription stops future billing; your local software and data remain on your device.

We may terminate or suspend your account for material breach of these Terms. We will provide notice except where immediate termination is necessary to protect the security of our systems or other users.

12. Governing law and disputes

These Terms are governed by the laws of India. Any dispute arising from these Terms that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of Bangalore, Karnataka.
